1. Introduction

Welcome to myCGPA ("Application", "Service", "we", "us", or "our"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and myCGPA governing your access to and use of the myCGPA mobile application and any related services (collectively, the "Service").

By downloading, installing, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately cease using the Service and uninstall the Application from all devices.

By using the Service, you represent and warrant that you are at least 13 years of age. If you are under 18, you must have a parent or legal guardian review and consent to these Terms on your behalf.

2. Definitions

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an Account by providing accurate, current, and complete information, including but not limited to your name, email address, matriculation number, and institutional affiliation. You agree to promptly update your Account information to maintain its accuracy.

3.2 Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activities that occur under your Account.
  • Immediately notifying us at [email protected] of any unauthorized access or security breach.

We shall not be liable for any loss or damage arising from your failure to comply with these security obligations.

3.3 Account Termination

We reserve the right, at our sole discretion, to:

  • Suspend or terminate your Account at any time with or without notice.
  • Refuse service to anyone for any reason.
  • Remove or delete any Content associated with your Account.

You may terminate your Account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Certain provisions of these Terms shall survive termination as set forth in Section 16.

4. Acceptable Use Policy

You agree NOT to:

  • Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person, institution, or entity.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, or networks.
  • Upload, transmit, or distribute any viruses, malware, worms, Trojan horses, or other harmful code.
  • Engage in any activity that could disable, overburden, or impair the functioning of the Service.
  • Use any automated means (bots, scrapers, crawlers) to access or collect data from the Service without our express written permission.
  • Attempt to reverse engineer, decompile, disassemble, or derive the source code of the Application.
  • Use the Service to harass, abuse, stalk, threaten, or defame any person.
  • Submit any Content that is false, misleading, fraudulent, or infringes upon the intellectual property rights of others.
  • Use the Service to calculate or manipulate grades for fraudulent or deceptive purposes.

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Service, including but not limited to its source code, object code, design, layout, graphics, logos, trademarks, service marks, algorithms, databases, and all related intellectual property, is owned exclusively by myCGPA and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial purposes, subject to these Terms.

5.2 User-Generated Content

By submitting Content to the Service, you:

  • Retain ownership of your Content.
  • Grant us a worldwide, royalty-free, non-exclusive license to use, store, reproduce, modify, adapt, and display your Content solely to provide, maintain, and improve the Service.
  • Represent and warrant that you have all necessary rights to grant this license.

6. Third-Party Services and Links

The Service may contain links to third-party websites, services, or resources that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of or reliance on any third-party content, goods, or services.

Your interactions with third-party services are solely between you and the third party. We encourage you to review the terms and privacy policies of any third-party services you access.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, we expressly disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Warranties that the Service will be uninterrupted, error-free, secure, or available at any particular time or location.
  • Warranties that any errors or defects in the Service will be corrected.
  • Warranties regarding the accuracy, reliability, or completeness of any CGPA calculations, grade predictions, or academic assessments generated by the Service.

The Service provides CGPA calculations for informational and planning purposes only. It does not constitute an official academic record. You should always verify calculations against your institution's official records and grading policies.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MYCGPA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, use, goodwill, or other intangible losses.
  • Damages resulting from:
    • Your use or inability to use the Service.
    • Any errors, mistakes, or inaccuracies in the Service's calculations or content.
    • Unauthorized access to or alteration of your transmissions or data.
    • Statements or conduct of any third party on the Service.
    • Any bugs, viruses, or harmful code transmitted through the Service.

Our aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless myCGPA, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of or access to the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property or privacy rights.
  • Your Content or any calculations submitted through the Service.
  • Any fraudulent or deceptive use of the Service.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy carefully to understand our data collection, use, and disclosure practices.

11. Data Retention and Deletion

We will retain your personal data and Content only for as long as necessary to fulfill the purposes for which it was collected, including to satisfy any legal, accounting, or reporting requirements.

Upon Account termination or upon your written request to [email protected], we will delete or anonymize your personal data within a reasonable timeframe, subject to any legal obligations requiring retention.

12. Modifications to the Service and Terms

12.1 Service Modifications

We reserve the right, at any time and without prior notice, to:

  • Modify, suspend, or discontinue (temporarily or permanently) any part of the Service.
  • Change pricing, features, or functionality of the Service.

We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

12.2 Terms Modifications

We reserve the right to modify these Terms at any time. When we do, we will revise the "Last Updated" date at the top of this document and provide notice through the Service or via email.

Your continued use of the Service after any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service immediately.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith informal negotiations. If the dispute cannot be resolved informally within thirty (30) days, either party may pursue resolution through binding arbitration in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria, 2004.

13.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis. You waive any right to participate in a class action, class-wide arbitration, or any other representative proceeding.

13.4 Exceptions

Nothing in this section shall prevent either party from seeking injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be deemed modified to achieve the original intent to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements expressly incorporated by reference, constitute the entire agreement between you and myCGPA concerning the Service and supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral.

16. Survival

The following sections shall survive termination of these Terms or your Account: Section 4 (Acceptable Use Policy), Section 5 (Intellectual Property Rights), Section 7 (Disclaimer of Warranties), Section 8 (Limitation of Liability), Section 9 (Indemnification), Section 13 (Governing Law and Dispute Resolution), Section 14 (Severability), Section 15 (Entire Agreement), and Section 16 (Survival).
